Terms
Last updated: 18 September 2026
These Terms of Service ("Terms") govern access to and use of tracklyapp.com and the Trackly application (the "Service"). By using the Service, you agree to these Terms on behalf of yourself and, if you are accepting for an organization, that organization.
These are general terms for an invite-only product. If Trackly has a signed agreement with your organization, that agreement controls where it conflicts with these Terms.
1. The Service
Trackly is a workspace for tracking time, expenses, budgets, and invoices. Access is invite-only. We may change, suspend, or discontinue features. We do not promise that the Service will be uninterrupted or error-free.
2. Eligibility and accounts
- You must be at least 16 years old, or the age of majority in your jurisdiction if higher.
- You must use an email your organization invited, and keep your login details secure.
- You are responsible for activity under your account.
- Admins are responsible for who they invite and for the permissions they grant.
We may refuse, suspend, or close an account if these Terms are violated or if we need to protect the Service or other users.
3. Your organization and your data
Time entries, clients, projects, invoices, and other records you put in Trackly ("Customer Data") belong to your organization. You grant Trackly a limited license to host, process, and display Customer Data only to provide the Service.
You represent that you have the right to submit Customer Data and that doing so does not violate law or anyone else's rights. You are responsible for the accuracy of hours, rates, invoices, and other records you create.
4. Acceptable use
You may not:
- use the Service for anything unlawful, harmful, or fraudulent;
- attempt to access other workspaces or accounts without permission;
- probe, scan, or reverse engineer the Service except as allowed by law;
- upload malware or content that infringes others' rights;
- resell or provide the Service to third parties except as we agree in writing;
- misuse invites or impersonate another person.
5. Fees
If your organization pays for Trackly, fees, taxes, and billing terms are as shown at signup, on an invoice, or in a separate order. Unpaid amounts may result in suspension. Unless we say otherwise, fees are non-refundable.
6. Intellectual property
Trackly and its logos, software, and documentation remain our property (or our licensors'). These Terms do not transfer ownership of the Service to you. You may not copy, modify, or create derivative works of the Service except as we allow.
Feedback you send us may be used to improve Trackly without obligation to you.
7. Confidentiality
Each party may receive confidential information from the other. The receiving party will use it only to perform under these Terms and will protect it with reasonable care. This does not apply to information that is public, independently developed, or rightfully received from another source.
8. Privacy
Our Privacy Policy explains how we collect and use personal information. It is part of how we operate the Service.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRACKLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that reports, invoices, or totals generated by the Service are free of error. You remain responsible for reviewing time, billing, and tax records before you send them to clients or authorities.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRACKLY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOUR ORGANIZATION PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).
Some places do not allow certain limitations. In those places, our liability is limited to the fullest extent allowed.
11. Indemnity
You will defend and indemnify Trackly against claims, damages, and costs arising from Customer Data, your use of the Service, or your violation of these Terms, except to the extent caused by our willful misconduct.
12. Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or if we discontinue the Service. After termination, your right to use Trackly ends. We may delete Customer Data after a reasonable retention period, unless law requires us to keep it. Sections that should survive (including 6, 7, 9, 10, 11, and 13) will survive.
13. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-law rules. Courts in Ontario will have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction to protect our intellectual property or the Service.
14. General
These Terms are the entire agreement between you and Trackly for the Service, unless a signed contract says otherwise. If a provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets. Failure to enforce a provision is not a waiver. We may update these Terms by posting a new version on this page. Continued use after the "Last updated" date means you accept the changes.
15. Contact
Questions about these Terms can be sent to the support email published on tracklyapp.com, or through your Trackly administrator.
